This Agreement governs the terms by which the MWS Licensed Trainer obtain the right to use and conduct training workshops of the MWS Trainers Kit which include but not limited to the Training Content, Presentation Slides, Learning Journals, Trainers Notes, and other media content provided by MWS International [hereinafter known as MWS-Int]

Recitals:

The MiniWorkshopSeries™ Workshops (hereinafter known as ‘the MWS Workshops’) is the workshop titles as offered in the http://www.miniworkshopseries.com
The MiniWorkshopSeries™ Trainers Kit (hereinafter known as ‘the MWS Trainers Kit’) is the professionally developed competencies based training content (included but not limited to Presentation Slides, Learning Journals, Audio/Visual Aids and Trainers Notes) crafted for MWS Licensed Trainers and the MWS Client.
The MiniWorkshopSeries™ Products and Services (hereinafter known as ‘the MWS Products and Services’) consist of the MWS Workshops, MWS Trainers Kits and MWS Partner Program and any other products and services offered under the branding of MiniWorkshopSeries™.
The MiniWorkshopSeries™ Websites (hereinafter known as ‘the MWS Websites’) comprising of the following websites http://www.miniworkshopseries.com, http://www.miniworkshopseries.net, http://www.outstandingevent.com
The MiniWorkshopSeries™ Client (hereinafter known as ‘the MWS Client’) the organization and/or company and/or individual that purchase the MWS Trainers Kit and MWS Products and Services.
The MiniWorkshopSeries™ Licensed Trainer (hereinafter known as ‘the MWS Licensed Trainer’) is a license granted by MWS-Int to an individual who is authorized to deliver, to utilize and to conduct training of any MiniWorkshopSeries™ titles based on the MWS Trainers Kit Materials.
The MiniWorkshopSeries™ Learning Hub (hereinafter known as ‘the MWS learning Hub’) is a license granted by MWS-Int to a company that is authorized to organize, market and sell MWS Workshops as a public programs for organizations and individuals.
The MiniWorkshopSeries™ Learners Kit (hereinafter known as ‘the MWS Learners Kit) is the Participants Workshop Materials required which consists but not limited to MWS Learning Journals, MWS certification and/or any other stationeries supplied by MWS-Int.
The MiniWorkshopSeries™ Service Program (hereinafter known as ‘the MWS Service Program’) is an annual renewal program of conducting and utilizing MWS Trainers Kit whereupon the MWS Client and/or MWS Licensed Trainer is required to pay an annual fee (at market rate) unless otherwise specified failing which the MWS Licensed Trainer shall not be eligible for the MWS Service Program.

The MWS Licensed Trainer is governed by the Content License Agreement and Terms of Use. In the event of any inconsistency between this Agreement, the Licensed Trainer Agreement and the Terms of Use (both of which are incorporated into this Agreement by reference), the terms of the Content License Agreement shall prevail.

This Agreement contains many important provisions that affect your rights and obligations. By being the MWS Licensed Trainer and by utilizing the MWS Trainers Kit signifying your acceptance, you accept this Agreement for yourself thereby agrees to be bound by its provisions.

1. Standard License Terms
1.1 MWS-Int hereby grants to you, the MWS Licensed Trainer a perpetual, non-exclusive, non-transferable worldwide license to train the MWS Trainers Kit content for the Permitted Uses (as specified in the Content Agreement License).

1.2 Unless the activity or use is a Permitted Use, you are prohibited to use and/or utilize the content of the MWS Trainers Kit. All other rights in and to the MWS Trainers Kit content, including, without limitation, all copyright and other intellectual property rights relating to the MWS Trainers Kit content, are retained by MWS-Int and the author of the MWS Trainers Kit content, as the case may be.

1.3 This Agreement does not gives or imply that the MWS Licensed Trainer have the rights of the MWS Trainers Kit content save in except for the MWS Client.

1.4 MWS-Int undertakes not to interfere in the legitimate conduct of the MWS Licensed Trainer’scommercial business; its sole concern remains the delivery of high and appropriate standards of training offered to the general public, companies and/or internal staff.

2. Code of Conduct
2.1 Ethical behavior means that the MWS Licensed Trainer is fair and honest when dealing with other people whereupon:-

The MWS Licensed Trainer is viewed as leaders by organizations and must act accordingly. All decisions must show good judgment and be justifiable;
The MWS Licensed Trainer undertakes to conduct its business in an ethical manner, such being defined as being fair in pricing and inclusive of written materials and clear in presentation;
The MWS Licensed Trainer must show professional behavior at all times during training sessions;
The MWS Licensed Trainer is effective and supportive of their participants personal and professional development;
The MWS Licensed Trainer is committed to his own personal and professional development and will continuously seek to improve training competencies;
The MWS Licensed Trainer is in line with equal opportunities and anti discriminatory practice;
The MWS Licensed Trainer is supportive, respectful, empowering, and inclusive in his approach to participants;
The MWS Licensed Trainer makes constructive use of feedback from participants at the end of an event or workshop sessions;
The MWS Licensed Trainer respects copyright and acknowledges ownership of the Material used as belonging to MWS-Int.
The MWS Licensed Trainer agrees to conduct training using the MWS Trainers Kit and to promote the MiniWorkshopSeries™ Standards of Practice and Code of Ethics throughout each workshop. This includes adhering to all approved prerequisites, essential core information, and required hours of instruction.
The MWS Licensed Trainer undertakes to keep proper records of Workshops conducted [Name of Workshop, Dates, Participants Details and any other information deemed necessary] and to submit the information in order to qualify in the MWS Service Program
The MWS Licensed Trainer agrees to provide training materials that are approved, current and meet the MiniWorkshopSeries™ standards for a quality presentation.
The MWS Licensed Trainer undertakes not to make misleading claims over the workshops. The Registered Licensee will consult where marketing claims may potentially represent discomfiture to MWS-Int and/or the MiniWorkshopSeries™
For the use of the MWS Trainers Kit, the MWS Licensed Trainer undertakes not to utilize, conduct and/or facilitate any training content not directly purchased by MWS Licensed Trainer and/or or its employer unless he/she is commissioned or appointed directly by the MWS Client that owns the rights of use.
In the event, that the MWS Licensed Trainer resigns from the MWS Client that invested in the MWS Trainers Kit, the MWS Licensed Trainer undertakes not to make a copy and/or conduct the said MWS Trainers Kit content without being the MiniWorkshopSeries™ MWS Trainers Kit Client.

3. Online Resources Terms & Conditions
3.1 The MWS Licensed Trainer will be eligible for a free one-year membership in the http://www.miniworkshopseries.net and http://www.outstandingevent.com community, allowing full access to the membership portions of the Website.

3.2 Access and use of the membership portions of the Websites is provided by MWS-Int to the MWS Licensed Trainer on condition that the MWS Licensed Trainer accept the Rules of Conduct stated herewith, and the Terms of Use, and by accessing or using the membership portions of the Website, the MWS Licensed Trainer agrees to the terms and conditions and the Terms of Use.

3.3 The MWS Licensed Trainer should not access or use the membership portions of the website if the MWS Licensed Trainer does not agree to accept and abide by the MWS Licensed Trainer Agreement and the Terms of Use.

3.4 MWS-INT reserves the right, in its discretion, to change or modify all or any part of this terms and conditions at any time, effective immediately upon notice published on the Website.

3.5 The MWS Licensed Trainer continued use of the membership portions of the Website after such notice constitutes the MWS Licensed Trainer binding acceptance of the Rules of Conduct herewith, including any changes or modifications made by MWS-Int as permitted above.

4. Rules of Conduct
4.1 The MWS Licensed Trainer shall not use the MWS Trainers Kit content and/or the MWS Websites for any purpose that is unlawful or not permitted by this Agreement and/or Content License Agreement and Terms of Use and not as a limitation, the MWS Licensed Trainer agree that when communicating via the MWS Websites, including in respect of any forums, chat-rooms or other exchanges (a “Forum”) accessed on or through the Website, you shall not do any of the following:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy) of others.
Publish, post, distribute or disseminate any defamatory, infringing, obscene, pornographic, sexual, indecent or unlawful material or information.
Upload or otherwise transfer files that contain software or other material protected by intellectual property laws (or by rights of privacy or confidentiality) unless the MWS Licensed Trainer own or control the rights thereto or have received all necessary consents.
Upload or otherwise transfer files that contain viruses, corrupted files or any other similar software or programs that may damage or inhibit the operation of another computer.
Delete any author attributions, legal notices, or proprietary designations or labels in any file that is uploaded.
Falsify the origin or source of software or other material contained in a file that is uploaded.
Advertise or offer to sell any goods or services or conduct or forward surveys, contests or chain letters.
Download any file posted by another user of a Forum that the MWS Licensed Trainer know, or reasonably should know, cannot be legally distributed in such manner.
Use any communications or Content or other information obtained through the Website in a manner that is competitive with the Website or MWS-Int business.

5. Cooperation with MWS-Int
5.1 It is a condition of approval that the MWS Licensed Trainer agrees to be reviewed by MWS-Int and/or its representatives as required.

5.2 The MWS Licensed Trainer must cooperate fully with MWS-Int officers who are undertaking review and verification activities which includes:

Responding honestly to questions;
Ensuring availability of records; and
Cooperating fully with MWS-Int officers conducting approval and verification activities such as information gathering, observation, monitoring, audits and reviews.

5.3 The MWS Licensed Trainers must be professional, polite and cooperative in their dealings with MWS-Int officers at all times.

5.4 Obstructive and unreasonable behavior of the MWS Licensed Trainer may result in termination of this Agreement.

6. Notification
6.1 MWS-Int shall keep a record of each MWS Licensed Trainer’s details and from time-to-time, MWS-Int is permitted to contact the MWS Licensed Trainer regarding new initiatives, changes to services, workshop past records and any other information deemed important to uphold the standards and agreements herein.

6.2 The MWS Licensed Trainer shall immediately cease use of the membership portions of the Website and the MWS Trainers Kit and inform MWS-Int in writing in the event that at any time the terms and conditions of this MWS Licensed Trainer Agreement are no longer acceptable to the MWS Licensed Trainer.

Acknowledgement

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE PRIOR TO AGREEING TO IT. IN CONSIDERATION OF MWS INTERNATIONAL AGREEING TO PROVIDE THE MINIWORKSHOPSERIES™ MWS PRODUCTS AND SERVICES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND MWS INTERNATIONAL WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND MWS INTERNATIONAL AND ITS REPRESENTATIVES RELATING TO THE SUBJECT OF THIS AGREEMENT.
